Terms of service

Last updated date. These terms are between you and legal entity name, registered address ("nomadsetup", "we"). By buying a plan you accept them.

What we are

nomadsetup is a document filing and compliance support service. We are not a law firm, a government agency, a bank or a tax adviser, and nothing we send you is legal, tax or financial advice. We prepare and submit documents you authorise, and we tell you what the rules require. Decisions about your business remain yours.

What you get

Your plan is listed on the pricing page and confirmed in your receipt. Depending on the plan it includes company formation with the state you choose, the state filing fee, a registered agent for 12 months, an Operating Agreement, an EIN application to the IRS, a US business address, preparation of a bank application, and the compliance and tax filings named in that plan.

We cannot guarantee outcomes that a third party controls. Specifically: we cannot guarantee that a state approves a particular company name, that the IRS issues an EIN within a given time, or that a bank opens an account for you. We prepare the applications properly and follow them up. The decision belongs to the state, the IRS or the bank.

What we need from you

• Accurate, complete information about yourself, your co-owners and your business.
• Valid identity documents when we ask for them.
• Answers within a reasonable time. Filings stall when we are waiting on you, and deadlines set by a state or the IRS do not move because of it.
• That you do not use a company we form for anything unlawful.

If you give us information that turns out to be wrong, and a filing has to be corrected or refiled, we will tell you the cost before we do it.

Prices, payment and renewals

Prices are in US dollars and are charged up front for your first year. The state filing fee is included. From year two your plan renews annually at $500 less than the first-year price, which covers the registered agent, the US address, the compliance calendar and the ongoing filings your plan includes. We email you before a renewal is charged, and you can cancel a renewal at any time before that date.

Refunds

• Before we file anything with a state, you can cancel for a full refund.
• Once your Articles of Organization have been submitted, the state fee is spent and is not refundable. We will refund the remainder of your plan fee less work already done.
• Where we fail to deliver something your plan includes, and it is within our control, we refund that part in full.

Third parties

Banks, payment processors, registered agents and government bodies have their own terms. We are not responsible for their decisions, their fees or their processing times, and introducing you to one of them does not make us a party to your relationship with them.

Liability

We are liable for failing to provide the service you paid for with reasonable skill and care. To the extent the law allows, our total liability to you is capped at the amount you paid us in the 12 months before the claim, and we are not liable for lost profit, lost business or indirect loss. Nothing here limits liability that cannot lawfully be limited, including for fraud.

Ending the agreement

You can stop using the service at any time; the refund terms above decide what comes back. We can end the agreement if you do not pay, if you give us false information, or if we are required to by law or by our own compliance obligations. Your company continues to exist after we stop acting for you. Keeping it compliant then becomes your responsibility, and we will hand over your documents.

Governing law

These terms are governed by the law of jurisdiction, and the courts of jurisdiction have exclusive jurisdiction over disputes arising from them.

Changes

We update these terms from time to time and change the date at the top. Changes apply to orders placed after they are published. Material changes affecting an active subscription are emailed to you first.
