Good to know

Questions founders ask us about this.

I made no revenue – do I still need to file?

Yes. Form 5472 is required for any foreign-owned single-member LLC that had reportable transactions, which includes you funding the company. The penalty for not filing is $25,000.

Will I pay US tax?

A single-member LLC is disregarded; usually there is no US income tax if you have no US presence. Your home-country taxes are a separate question we can point you to advisors for.

Is state tax included?

Wyoming and New Mexico have no LLC state income tax. Delaware franchise tax is handled under Annual report & franchise tax.
